Developer API Requirements

DEVELOPER API REQUIREMENTS
By using our API, you ("Licensee") agree to these Developer API Requirements, which are also subject to the Terms of Service at https://www.fleetio.com/terms/terms-of-service, (collectively the "Requirements") with Rarestep, Inc. dba Fleetio ("Fleetio") as of the date you click the button (the "Effective Date"). We reserve the right to update and change the Requirements from time to time and will provide notice to you by changing the “last updated” date above. All changes are prospective only. It is your obligation to be familiar with the most current version of the Requirements. Continued use of the Requirements after any such changes shall constitute your acknowledgment of and consent to such changes.
1. API License
1.1. API License. Subject to Licensee's compliance with the Requirements, Fleetio grants to Licensee a limited, non-exclusive, non-transferable, and non-sublicensable license during the Service Period (as defined in the Terms of Service, if Licensee is a customer of Fleetio) or Term (as defined in Section 3, if Licensee is not a customer of Fleetio) to: (a) download, solely for Licensee's internal authorized use of and exchange of data with Fleetio's Services (as defined in the Terms of Service), the tools and other information Fleetio provides to Licensee via its developer portal (https://www.fleetio.com/features/developer-api, "Developer Portal") (collectively "Licensed Materials"); and (b) download and use the Licensed Materials to develop, reproduce, internally test, and use applications that interoperate with Fleetio's application programming interfaces ("APIs"), and to make calls to the APIs through applications, solely to exchange data with and write to Fleetio's Services.
1.2. Permitted Uses. Licensee's use of the Licensed Materials is permitted only for the purpose of developing applications for the use of Fleetio's Services, as authorized by Fleetio in the Requirements and Developer Portal, to facilitate Licensee's internal testing, evaluation, and use of APIs to exchange data with and write to Fleetio's Services. For the avoidance of doubt, Licensee agrees that all requirements, obligations and restrictions that apply to use of Services under the Terms of Service apply equally to Licensee’s use of the Licensed Materials and use of and making of calls through APIs, including the prohibited uses in Section 1.J of the Terms of Service and the Limitations of Liability in Section 10 of the Terms of Service.
2. API Requirements
2.1. Documentation. Licensee agrees that Licensee is solely responsible for applications that Licensee develops and all such applications must comply with these Requirements and the additional requirements available in the Developer Portal in order for them to interface with Fleetio's Services.
2.2.Approval by Fleetio. Licensee must obtain Fleetio's approval through the Developer Portal before exchanging data with or writing to Fleetio's Services through the APIs.
3. Term
If Licensee is not a customer of Fleetio, the API License in Section 1 lasts for the shorter of the duration of Licensee's use of Fleetio's APIs or the date of Fleetio's notice of termination, which Fleetio can issue at its discretion, of the API License to Licensee.
