The Fleetio Jump Start Initiative Subscription Giveaway Contest (the “Contest”) is sponsored and administered by Rarestep, Inc. dba Fleetio (“Fleetio” or “Sponsor”).

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED LAW. BY ENTERING, EACH ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISION OF THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.

Pursuant to the terms and conditions set forth in these Official Rules, current Fleetio customers may nominate eligible non-profit organizations located in the United States or Canada (“Entrants”) to win the Grand Prize hereunder.

  1. Eligibility
    1. Who is eligible to be nominated?
      1. A non-profit organization that meets the criteria below:
        1. Offers a service that benefits the community or those in need.
        2. Has a fleet (vehicles or other assets) that supports its operations.
        3. Is NOT a Fleetio customer with an active subscription at the time of nomination.
        4. Is NOT already working with Fleetio’s Sales team.
        5. Can provide documentation of its formation (e.g., a Certificate of Incorporation).
        6. Is located in the United States or Canada.
    2. Who can submit nominations?
      1. A current Fleetio customer who meets the following criteria may submit a nomination:
        1. Has an active subscription with Fleetio at the time of submission.
        2. Is in good financial standing with Fleetio, with no outstanding Fleetio invoices.
        3. Agrees to participate in and have the company name and logo, and name and likeness of company representative, featured in promotional materials.
        4. The employee of the customer who submits the nomination must be at least 18 years of age and be a legal resident of the United States or Canada.
    3. How do Fleetio customers submit their nominations?
      1. Customers must submit their nominations on the Fleetio website at www.fleetio.com/jumpstart. Nominations must include a brief description (200 words or less) of these two key points:
        1. How the non-profit organization nominated makes a positive impact on the community and/or helps those in need.
        2. How the organization nominated could benefit from a Fleetio subscription that provides fleet maintenance support.
    4. The nomination must (i) be suitable for display and publication, including for display and publication online (e.g. it may not be obscene or indecent, including but not limited to nudity or profanity; it must not contain obscene or pornographic material, it must not contain defamatory statements or messages (including but not limited to words, images, or symbols that are widely considered offensive to individuals of a certain race, ethnicity, gender, religion, sexual orientation or socioeconomic or other group); it must not invade privacy or other rights of any person, firm or entity, and it must not in any other way violate or depict a violation of applicable laws and regulations); (ii) not contain content that infringes any third-party rights; or (iii) not contain third-party content or materials. If your nomination includes any third-party materials (including but not limited to, any copyrighted content), or otherwise violates or infringes (or may infringe) any copyright or trademark, the Sponsor, at its sole discretion may disqualify your nomination.
    5. By submitting an entry, you agree that you have read or have had these Official Rules read to you, and acknowledge your agreement with these Official Rules, and acknowledge and accept that the personal information collected from you will be utilized as disclosed in these Official Rules and in accordance with the Sponsor’s Privacy Policy available at https://www.fleetio.com/terms/privacy.
    6. What is the timeframe to submit nominations?
      1. Nominations will open up in summer of 2025. Sign up here to receive notifications about the Jump Start Initiative Giveaway. The Official Rules will be updated with a definitive entry period when available.
    7. When will a winner be announced?
      1. The Grand Prize winner will be announced on Giving Tuesday, which falls on December 2, 2025.
    8. What will the winner receive?
      1. Grand Prize: A free subscription to Fleetio for our Essential Plan with a limit of up to 100 vehicles or assets. The subscription will remain free for five years unless and until the winner ceases to be a non-profit organization. Approximate Retail Value: $24,000 (which assumes management of 100 vehicles on the Essential Plan for 5 years).
      2. Prizes are considered to be taxable income. All federal, state, and local taxes, fees, and surcharges in connection with a prize are the sole responsibility of the winner.
    9. How is the winner of the contest selected?
      1. One non-profit organization will be selected by a panel of Fleetio judges. The winner will be selected based on their positive impact to the community and/or to helping those in need, as well as their demonstrated need for a fleet maintenance software to keep their operations running smoothly.
    10. To be eligible to receive the Grand Prize, the winner must complete the following (“Acceptance Requirements”):
      1. Agree to Fleetio’s then current Terms of Service (“TOS”) appearing at https://www.fleetio.com/terms by executing a zero dollar Order Form for an Essential Planwith a limit of up to 100 vehicles.
      2. Complete and sign a Winner’s Affidavit and Release form satisfactory to Fleetio that provides, among other things, Fleetio with the right to use the non-profit organization’s name and logo, the name and likeness of a representative of the winner, in each case, to be featured in promotional materials associated with the Jumpstart Initiative Fleetio Subscription Giveaway Contest.
      3. Complete and execute an IRS Form W-9.
      4. Participate in promotional activities for the Contest, including but not limited to a press release, case study, podcast, and/or testimonial.
    11. The Grand Prize may be forfeited and an alternate winner selected if the Acceptance Requirements are not returned within 10 business days of sending of the notice of winning, or if the potential winner fails to respond to the Sponsor notifications or if the potential winner’s compliance with these Official Rules cannot be verified to the Sponsor’s satisfaction. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to nominees. The Sponsor reserves the right to take any actions necessary to verify a nominee’s compliance with these Official Rules before announcing the winner and/or awarding the Grand Prize.
    12. Fleetio is not responsible for entries that are incomplete or otherwise invalid.

  2. Right to Cancel, Modify or Disqualify
    1. Fleetio reserves the right to terminate Contest at any time and without notice, including, without limitation, because the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest.

  3. Internet
    1. The Sponsor is not responsible for any late, lost, damaged, misdirected, incomplete, illegible, undeliverable, or destroyed nominations due to system errors, failed, incomplete or garbled computer or other telecommunication transmission malfunctions, hardware or software failures of any kind, lost or unavailable network connections, typographical or system/human errors and failures, technical malfunction(s) of any telephone network or lines, cable connections, satellite transmissions, servers or providers, or computer equipment, traffic congestion on the Internet , or any combination thereof, including other telecommunication, cable, digital or satellite malfunctions which may limit an entrant’s ability to participate.

  4. Ownership of Nominations
    1. All nominations become the exclusive property of the Sponsor. Each entrant irrevocably assigns and transfers to the Sponsor all rights in his or her essay, including, without limitation, all copyrights.

  5. Warranties
    1. You agree not to submit any content that (a) infringes any third party proprietary rights, intellectual property rights, rights of publicity or endorsement, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, privacy, publicity or confidentiality obligations; or (b) otherwise violates applicable state, federal, local or provincial law.

  6. Data Collection and Use
    1. Personal information will be collected during the nomination process. Any personal information collected shall be used by the Sponsor and its agents for purposes of the administration and fulfillment of the Contest and as otherwise described in these Official Rules. In addition, you agree that the Sponsor or its agents can contact you with periodic communications relating to future promotions, or the Sponsor’s services, or other events/promotions/service features, that the Sponsor considers may be of interest to you. By submitting a nomination, you agree and acknowledge that you may be contacted by the Sponsor via email, phone and direct mail. You further agree and acknowledge that email communication shall not be considered to be unsolicited commercial email or spam.
    2. The Sponsor's privacy policy is located at https://www.fleetio.com/privacy. You may subsequently opt-out of receiving further communications from the Sponsor as set forth in the Sponsor’s privacy policy.

  7. Disclaimers
    1. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES WILL FLEETIO, IT SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (COLLECTIVELY “FLEETIO PARTIES”) HAVE ANY LIABILITY FOR ANY LOSS OR DAMAGE RESULTING DIRECTLY OR INDIRECTLY FROM, WITHOUT LIMITATION, (A) YOUR PARTICIPATION IN THE CONTEST; (B) YOUR INABILITY TO RECEIVE, USE OR REDEEM THE PRIZE OR A SHARE OF A PRIZE, UNDER ANY THEORY OF LIABILITY CAUSE OF ACTION WHETHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT OR OTHERWISE, REGARDLESS OF WHETHER ANY FLEETIO PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE FLEETIO PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, WITH RESPECT TO THE CONTEST OR THE PRIZE. IN NO EVENT WILL THE FLEETIO PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES IN CONNECTION WITH THE CONTEST, THE PRIZE, OR THESE OFFICIAL RULES.

  8. Limitation of Liability
    1. IN NO EVENT WILL THE FLEETIO PARTIES’ LIABILITY TO YOU, THE WINNER OR ANY THIRD PARTY IN CONNECTION WITH THE CONTEST OR THESE OFFICIAL RULES, UNDER ANY THEORY, EXCEED ONE HUNDRED DOLLARS ($100).

  9. Indemnity
    1. You agree to release, indemnify, defend and hold the Sponsor and its subsidiaries, and their respective directors, officers, employees, successors and assigns, and any other persons and organizations related to the Contest, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that arise from your participation in the Contest or acceptance or use of a Prize or share thereof, including without limitation (i) any condition caused by events beyond the Sponsor’s control that may cause the Contest to be disrupted or corrupted; (ii) any claim that an nomination infringes a third party’s intellectual property or proprietary rights; (iii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the Prize, or acceptance, possession, or use of the Prize, or from participation in the Contest; (iv) any printing or typographical errors in any materials associated with the Contest or any technical errors that may impair your ability to participate in the Contest; (v) errors in the administration of the Contest; or (vi) any non-compliance by you with these Official Rules.

  10. Disputes; Mandatory Arbitration
    1. The construction, validity, interpretation and enforceability of these Official Rules along with the rights and obligations of you and the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Alabama U.S.A., without giving effect to the conflict of laws rules thereof. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If there are any discrepancies or conflicts between printed, digital or other promotional materials, or any other written or verbal representations regarding the Contest and these Official Rules, the provisions of these Official Rules will govern and control.
    2. Except where prohibited by law, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Contest, the Official Rules, or any Prize awarded hereunder, shall be resolved individually, without resort to any form of class action.
    3. If a claim is not otherwise resolved through direct discussions, it shall be resolved exclusively by final and binding arbitration administered without resort to any form of class action, by Judicial Arbitration and Mediation Services (JAMS), in accordance with its rules and procedures (the, “JAMS RULES”). The JAM RULES for selection of an arbitrator shall be followed except that the arbitrator shall be experienced and licensed to practice law in Alabama. Any claim shall be arbitrated on an individual basis and will not be consolidated in any arbitration with any claim of any other party.
    4. All proceedings shall be conducted in Birmingham, AL. The remedy for any claim shall be limited to actual damages and in no event, shall you be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim.
    5. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. You agree to service of process by mail or other method acceptable under the laws of the State of Alabama. EACH ENTRANTIRREVOCABLY WAIVES ALL RIGHTS TO SEEK INJUNCTIVE OR EQUITABLE RELIEF OR ANY TRIAL BEFORE A JUDGE OR A JURY.

  11. Sponsor
    1. The Sponsor of the Contest is Rarestep, Inc., dba Fleetio, located at 1900 2nd Ave. N., Suite 300, Birmingham, AL 35203.

  12. Winner List
    1. For the name of the winner of the Contest, send your request with a self-addressed, stamped envelope to be received by December 10, 2025, to: Fleetio 1900 2nd Ave. N. Suite 300 Birmingham, AL 35203 Attn: Legal Dept – Jumpstart Initiative Contest

  13. Entire Agreement
    1. Except as expressly provided herein, these Official Rules set forth the entire understanding and agreement between you and the Sponsor regarding, or related in any way to, the Contest, and you acknowledge and agree that there are no other representations or agreements between you and the Sponsor regarding the Contest.
